    EFFECTIVE February 27 2014 Section 302 1 Academic and Student Affairs Committee The Board establishes an Academic and Student Affairs Committee with responsibility for reviewing and recommending full board action studies and reports related to academic and student matters as well as strategic planning and workforce development including All academic and student policies except those for which authority has been expressly delegated to the Chancellor Proposals for the establishment allocation and abolition of all educational units Approval and termination of all academic programs of study Academic standards Transfer and articulation Reports on program reviews and accreditation actions completed in the preceding year Proposals for honorary degrees and Other matters central to academic quality student life strategic planning and workforce development The Academic and Student Affairs Committee shall consist of not less than three voting members including the student member appointed by the Board President The President may also appoint additional SBHE faculty and staff advisors as ex officio non voting members The Chancellor shall be ex officio non voting member Members shall be appointed annually at or following the meeting when Board officers are elected with vacancies to be filled by appointment by the Board President as they occur The

    Audit Committee will consist of three voting members of the Board The Board president will appoint committee members and the committee chair and may also appoint additional SBHE faculty and staff advisors as ex officio non voting members Each committee member will be both independent and financially literate MEETINGS The committee will meet at least four times a year with authority to convene additional meetings as circumstances require All committee members are expected to attend each meeting in person or via teleconference or video conference The committee will invite members of management auditors or others to attend meetings and provide pertinent information as necessary It may hold executive sessions in compliance with law In compliance with law meeting agendas will be prepared and provided in advance to members along with appropriate briefing materials In compliance with law minutes will be prepared RESPONSIBILITIES The committee will carry out the following responsibilities Financial Statements Review significant accounting and reporting issues including complex or unusual transactions and highly judgmental areas and recent professional and regulatory pronouncements and understand their impact on the financial statements Review with management and the external auditors the results of the audit including any difficulties encountered Review the annual financial statements and consider whether they are complete consistent with information known to committee members and reflect appropriate accounting principles Review other sections of the annual report and related regulatory filings before release and consider the accuracy and completeness of the information Review with management and the external auditors all matters required to be communicated to the committee under generally accepted auditing Standards Understand how management develops interim financial information and the nature and extent of internal and external auditor involvement Review interim financial reports with management and the external auditors and consider whether they are complete and consistent with the information known to committee members Internal Control Consider the effectiveness of the university system s internal control system including information technology security and control Understand the scope of internal and external auditors review of internal control over financial reporting and obtain reports on significant findings and recommendations together with management s responses Internal Audit Approve an internal audit charter Ensure there are no unjustified restrictions or limitations and review and concur in the appointment replacement or dismissal of the chief auditor Approve the annual audit plan and all major changes to the plan Review the internal audit activity s performance relative to its plan Review with the chief auditor the internal audit budget resource plan activities and organizational structure of the internal audit function At least once per year review the performance of the chief auditor and recommend the annual compensation and salary adjustment Review the effectiveness of the internal audit function including conformance with The Institute of Internal Auditors the Definition of Internal Auditing Code of Ethics and the International Standards for Professional Practice of Internal Auditing On a regular basis meet with the chief auditor to discuss relevant matters External Audit Review the external auditors proposed audit

    advisors as ex officio non voting members as appointed by the Board President The President shall appoint the members at the same time the Board elects its officers The committee members shall serve terms beginning July 1 The terms may not exceed three years and shall be staggered to ensure continuity of membership over the budget cycle In the event a vacancy on the committee occurs before the next scheduled election the President shall appoint a committee member to fill the vacancy no later than the next regular meeting of the Board The Chancellor shall serve as an ex officio member of the Committee The Committee shall meet at the call of the Chair as necessary to fulfill its duties and responsibilities The Committee is responsible for reviewing and recommending the following to the full Board for approval Annual budget guidelines including tuition and fees that promote SBHE goals Biennial budget requests to the legislative and executive branches consistent with the SBHE s constitutional requirement to prepare a single unified budget covering the needs of all institutions under its control Priorities for institutions capital requests and the system wide capital master plan Funding mechanisms and methodologies Allocation of funds directly

    president of Phi Delta Theta Fraternity is a member of the Varsity Gentlemen a cappella group biochemistry club and Phi Beta Kappa honor society He was also involved with Student Government Johnson volunteered with Walk to Defeat ALS North Dakota Special Olympics and Sanford Children s Hospital During his time with the Student Government he worked with the City of Grand Forks and UND on varied initiatives He was appointed as the 2015 16 student member of the State Board of Higher Education by Gov Jack Dalrymple His one year term will end June 30 2016 brett johnson 6 ndus edu return to top Kevin Melicher Kevin Melicher OD Fargo N D is an optometrist at Eyecare Associates P C who specializes in contact lenses sports vision and refractive surgery consultations Melicher attended North Dakota State University while completing his pre optometry coursework and holds a doctor of optometry degree from the Illinois College of Optometry Melicher is no stranger to higher education He s been the Team Optometrist for NDSU Athletics since 1982 and served as an adjunct assistant professor of optometry at both Illinois College of Optometry and Pacific University College of Optometry He also served on the Fargo School Board for eight years including terms as board president treasurer and negotiations leader and as a member of the North Dakota Board of Optometry from 2011 2014 Melicher was named the 2013 North Dakota Optometrist of the Year and earned the Dakota Medical Foundation Star Award in 2014 Appointed to the board by Gov Dalrymple on May 20 2014 Melicher s term will run from July 1 2014 through June 30 2018 Kevin Melicher ndus edu return to top Mike Ness Mike Ness Hazen N D is the Superintendent of the Hazen School District where he has been employed for twelve years Ness received his Bachelor of Science degree in education from North Dakota State University In 1980 he earned his Masters of Science in Education Administration degree from North Dakota State University Ness has been involved in K 12 education as a teacher principal and superintendent in the Verona Stanton Center Bottineau and Hazen school systems during the last 42 years He brings a K 12 educator connection to the board along with his vast knowledge and professional experience He will retire as Superintendent of the Hazen School on June 30 2015 Appointed to the board February 26 2015 filling a vacancy Ness s term will expire June 30 2018 mike ness ndus edu return to top Kari Reichert Kari Reichert Bismarck N D is Vice President of People Services at Mandan based National Information Solutions Cooperative NISC an information technology cooperative that develops and supports software and hardware solutions for rural utility and telephone cooperatives in 47 states and Canada In that capacity Kari is responsible for employee relations including employee compensation and benefits recruitment retention and employee engagement talent management human resources policies and corporate wellness Kari is a native of Dickinson N D She
